Provide legal advice and support for intercompany, vendor and counterparty relationships.
Maintenance of Policies within AIA Investment Governance Framework.
Offer legal advice as appropriate to senior management and serve as trusted counsel.
Ensure proper documentation of contractual relationships.
Managing litigation (If any) and reporting to the Board and Group Company Secretary whether AIAIMT is involved in litigation, actual or potential.
Draft, Manage and negotiate agreements to ensure the Company’s full legal rights including Investment Management Agreement, Dealing Service Agreement, Custodian Agreement, ISDA, CSA, Cornerstone Investment, Supplier Contract and Service Level Agreement Negotiations and any legal documents relevant to Private Fund and Mutual Fund managements.
Facilitate the communication across internal and external stakeholders and coordinate with Group Legal & Governance and Banks Counterparties in relation to contract review and negotiation.
Governance:
Administer and support the AIA investment control environment, including efficient, robust and demonstrable monitoring, assurance and audit activities to enhance the robustness and efficiency of AIA’s investment processes and controls
Support and be the second point of contact for on-going Bloomberg AIM Compliance Manager (“CMGR”) including perform UAT and implementation including monitor and investigate the alerts from the rules
Prepare Governing Document, propose and implement enhancements for the existing CMGR rules and/or creation of new CMGR rules due to changing or new regulatory, mandate and internal requirements; and update to reflect changes (if any)
To introduce a common and consistent architecture and language used by AIA’s investment professionals
Work closely with stakeholders to ensure key requirements within the investment governance framework are understood and applied, including those relate to trade and portfolio controls and monitoring. Coordinate the annual review, certification process and training for investment policies and procedures and coordinate with Group and local stakeholders on governance related matters
Analyze and solving technical problems for users, Analyze user requirements, existing workflows, procedures and reports for system development request
Advocate and advise internal and external stakeholders on the AIA Investment Governance Framework (IGF)
Perform other duties as assigned
Qualifications:
Bachelor’s Degree in Law, Business Administration, Accounting, Finance, Computer Science or related fields
Minimum 10 years relevant experience in banking, securities or financial
areas and IT skills
In-depth knowledge and experience on performance analytics, investment analysis, risk management and accounting standards
Be able to work independently and multi-tasking
Proven leadership skill
Good communication and interpersonal skills
