Key Responsibilities:
Legal Strategy and Compliance:
- Develop and implement legal strategies that align with the company’s business goals.
- Ensure the company’s operations comply with local, state, federal, and international laws and regulations.
- Monitor and analyze changes in laws and regulations that may affect the company’s business.
Risk Management:
- Identify and manage legal risks associated with the company’s operations.
- Advise the executive team on potential legal risks and develop mitigation strategies.
- Oversee internal investigations and manage any legal disputes or litigation.
Corporate Governance:
- Ensure compliance with corporate governance standards and best practices.
- Advise the board of directors on legal issues related to corporate governance.
- Prepare and review board materials and resolutions.
Contract Management:
- Oversee the drafting, review, and negotiation of all contracts and agreements.
- Ensure that contracts and agreements are legally sound and protect the company’s interests.
- Maintain a centralized contract management system.
Intellectual Property:
- Manage the company’s intellectual property portfolio, including patents, trademarks, and copyrights.
- Oversee the protection of the company’s intellectual property rights.
Address any potential infringements and enforce intellectual property rights.
- Leadership and Management:
- Lead and manage the legal department, including hiring, training, and developing legal staff.
- Provide guidance and mentorship to the legal team.
Foster a collaborative and high-performance work environment.
Mergers and Acquisitions:
- Provide legal support for mergers, acquisitions, joint ventures, and other strategic transactions.
- Conduct legal due diligence and oversee transaction documentation.
- Ensure compliance with regulatory requirements and approvals.
Qualification:
- 20 years of experience in Corporate Legal or International Law Firm.
- Excellent skill in building and leading teams with the ability to influence others to perform in the corporation’s best interest. And Ability to work with the Top Management.
- Advanced knowledge of Law, Ethics, Corporate contracts, and a demonstrated ability to apply such knowledge to solve a broad range of legal and contractual issues.
- Ability to provide expert legal advice on a wide variety of general business issues and balance business
- Knowledge of import and export laws and regulations
- Skill in the evaluation and planning for risk and loss prevention and in formulating effective plans to mitigate risk.
