Legal and Compliance Manager

Position Details

Job description :

  • Provide legal advice, service and support to the businesses including operational and supportive units across a variety of legal and compliance matters of the Companies
  • Draft, review, revise and negotiate contracts, agreements and legal binding documents to support operational units and supportive units of the Companies
  • Prepare all legal documents required for businesses of the Companies to support operational units and supportive units of the Companies
  • Company secretarial works for the Companies
  • Advise directors and shareholders on compliance with corporate legislation and the articles of association of the Companies
  • Conduct and prepare documents for corporate transactions, e.g. share transfer, dividend distribution and registrations e.g. registration for increase of capital as required under corporate laws and regulations
  • Maintain and keep records of the Companies’ legal documents
  • Arrange for meetings of the directors and the shareholders including providing proper notices of meetings, preparation of agenda, circulation of relevant meeting papers and taking and producing minutes to record the business transacted at the meetings and the decisions taken
  • Inform of any significant changes in the Companies structure or management, for example the appointment or resignation of directors or change of shareholders
  • Monitor annual filing required under corporate laws and regulations
  • Manage and review legal matters handled by external counsels if required for specific legal case, e.g. litigation cases, project finance, M&A and other specific legal issues or projects
  • Review and analyze the legal risks involved in various business deals and share awareness and analysis to the Companies relating staffs
  • Check, monitor and record legal compliance of the Companies with the existing and new laws, regulations, ruling and policies of the Companies and group Companies in the legal team and other operational units and supportive units for their compliance
  • Update and analyze legal information and new laws and regulations relating to businesses of the Companies and share them to relevant Companies staffs and management and do essential paper works
  • Make legal report on legal matters e.g. weekly/monthly legal report and provide legal documents as required by management, affiliates, mother company, shareholders of the Companies
  • Contact and deal with legal government authorities and regulators of any legal matters relating to the Companies businesses and their development
  • Advise and support on licenses and certificates for the Companies’ businesses or benefits and interests, including BOI, FBC, FBL, energy business licenses and renewable energy attributes and carbon credit
  • Arrange for legal training for Companies staffs and management as required
  • Involve in forming legal team and hiring members for the legal department after assessing their skills and abilities
  • Support all relevant legal and compliance matters for the Companies
  • Perform the jobs and tasks as assigned by the superior and the Companies’ management


Qualifications :

  • Contract negotiation skills
  • Analytical skills including identification of legal risks with pragmatic approaches
  • High fluency in Thai and English at business level, including writing and speaking
  • Sound understanding in commercial business and practice and drive to deliver high quality results, high level of integrity
  • Details oriented, well organized, Professional, Management, Planning, Organization and Prioritizing, Problem Solving

  • Microsoft Office (e.g. Word, PowerPoint, Excel)
  • Skills and Knowledge :
  • Bachelor’s degree at laws (Master is preferred)
  • Lawyer’s license and admitted by the Institute of Legal Education of the Thai Bar Association
  • 5 years as a contract lawyer and 2 years of experiences in working on compliance matters, preferably in energy sector (solar electricity)
  • Have experience working in law firm is preferred
  • Knowledge and working experiences in contract and corporate laws, specific laws especially in energy industry and international laws
