DUTIES AND RESPONSIBILITIES
Support Governance Framework:
- Assist in the development and maintenance of IT and data governance framework, policies, and procedures.
- Contribute to the establishment of governance structures such as committees and boards, to enable effective decision-making and accountability.
- Provide support on corporate governance issues, including board functions and compliance with duties, and responsibilities.
Legal Compliance:
- Help monitor the organization’s adherence to applicable laws, regulations, and industry standards.
- Stay abreast of legal and regulatory changes that could affect the organization, assisting in the adaptation of strategies to maintain compliance.
- Support the development and implementation of compliance programs and training initiatives.
Contract Management:
- Assist in managing the organization's contract lifecycle, including drafting, reviewing, and negotiating contracts.
- Ensure contractual documents comply with legal and regulatory standards and safeguard the organization's interests.
Risk Management:
- Aid in identifying and evaluate potential risks to the organization.
- Support the implementation of risk management strategies and procedures to mitigate identified risks.
- Assist in managing insurance coverage and claims to protect against potential liabilities.
Corporate Compliance and Ethics:
- Support the enforcement of the corporate compliance and ethics program.
- Participate in investigations and audits concerning compliance issues and misconduct.
- Help provide training and guidance on ethical standards and conduct
Legal Advisory:
- Provide assistance on various legal matters affecting the organization.
- Collaborate with external legal counsel to resolve complex legal challenges.
- Keep informed on legal changes and propose strategies to mitigate risks.
IT Audit:
- Support the development and execution of IT audit strategy and plans.
- Participate in defining IT audit objectives and establish a risk-based audit plan.
Team Leadership and Development:
- Support the management and development of legal and governance team.
- Promote a culture of excellence, collaboration, and continuous learning within team.
JOB SPECIFICATIONS
- Good command of English with native Thai speaking
- Bachelor's degree in Computer Science, Information Technology, Law, or a related field. A Master’s degree or relevant certifications (e.g. CISA, CISSP) are desirable.
- At least 3 years of experience in governance and legal functions within a complex organizational structure.
- Strong knowledge of corporate governance, compliance, and risk management principles.
- Proven ability to handle contractual and legal obligations.
- Excellent analytical, problem-solving, and organizational skills.
- Effective communication and interpersonal skills, capable of working collaboratively with multiple teams.
- High ethical standards and professionalism.
- Relevant professional certifications (e.g. Certified Compliance and Ethics Professional) are an advantage.
