*PURPOSE:
The Legal Manager ensures that the company's operations comply with legal regulations, mitigates risks, and protects the company's rights and interests. This role supports the management board in decision-making by providing legal advice, managing legal procedures, and fostering strong relationships with regulatory agencies.
*JOB RESPONSIBILITIES:
1. Legal Management for Investment, Construction, and Operation of Factories:
• Provide legal advice to the Board of Directors regarding the company’s activities related to construction and operation, and develop a legal roadmap for investment and construction projects.
• Supervise and execute legal procedures such as new issuance or adjustment of documents like construction permits, fire protection permits, environmental permits, and other operational permits (ERC, IRC...).
• Implement and oversee activities related to land leasing, investment incentives, and tax benefits.
• Monitor and ensure compliance with legal regulations related to investment and construction.
2. Corporate Legal Affairs:
• Review and systematize contracts, transactions, and internal activities of the enterprise.
• Inspect and evaluate compliance with legal regulations in business activities.
• Update and promptly report changes in legal regulations affecting the business.
• Develop processes and guidelines for legal compliance across departments and member units.
• Ensure departments receive the necessary legal guidance, documents, and advice.
• Coordinate with other departments to ensure compliance in all business activities.
3. Legal Management for Mergers and Acquisitions (M&A):
• Provide legal consultancy for M&A transactions.
• Assist in drafting M&A contracts, conducting legal due diligence, and risk assessment.
• Review legal documents and assess the legal status of participating enterprises.
• Advise on resolving disputes arising during the transaction process.
4. Litigation and Complaints:
• Represent the company by authorization or participate as a lawyer to protect the legal rights and interests of the group and its member companies in disputes, complaints, and lawsuits.
• Supervise the implementation of the company’s legal service agreements.
5. Management and Coordination of Legal Department Work:
• Train team members on practices and standards related to the department's work.
• Lead the development, organization, implementation, and improvement of the department's working processes.
• Performing other tasks as assigned.
