I. Position Overview/Giới thiệu vị trí: We are looking for a Legal & Contracting Manager with expertise in Commercial and Corporate Law, preferably with experience in engineering, oil & gas, or energy sectors, and with an interest in using Artificial Intelligence (AI). This role ensures legal compliance, reduces legal risks, and supports the company in business, investment, and operational activities. Vị trí này đảm bảo tuân thủ pháp luật, giảm thiểu rủi ro pháp lý và hỗ trợ các hoạt động kinh doanh, đầu tư và vận hành của công ty. II. Key Responsibilities/Nhiệm vụ chính: 1. Legal Advice & Compliance/Tư vấn pháp lý và Tuân thủ. • Advise the management on legal issues related to business, investment, bidding, and contracts. Tư vấn Ban Giám đốc các vấn đề pháp lý liên quan đến kinh doanh, đầu tư, đấu thầu và hợp đồng. • Provide legal risk assessments of bid documents (RFPs), contract templates from clients, and tender conditions Đánh giá rủi ro pháp lý trong hồ sơ mời thầu, mẫu hợp đồng của chủ đầu tư và điều kiện đấu thầu. • Update and ensure compliance with Vietnamese and international laws (if applicable). Cập nhật và đảm bảo tuân thủ pháp luật Việt Nam và quốc tế (nếu có). 2. 2. Contract Management & Procurement Process/Quản lý hợp đồng và quy trình mua sắm : • Advise on contract terms, legal obligations, and risk mitigation in commercial and project-related agreements. Tư vấn điều khoản hợp đồng, nghĩa vụ pháp lý và biện pháp giảm thiểu rủi ro trong các hợp đồng thương mại và dự án. • Draft, review, and check contracts and legal documents before submission for approval. Soạn thảo, rà soát và kiểm tra các hợp đồng, tài liệu pháp lý trước khi trình phê duyệt. • Advise on legal risks and compliance in procurement procedures and supplier selection. Tư vấn rủi ro pháp lý và tuân thủ trong quy trình mua sắm và lựa chọn nhà cung cấp. 3. Dispute Resolution/Giải quyết tranh chấp: • Represent the company in dealing with government agencies, lawyers, arbitrators, and courts. Đại diện công ty làm việc với cơ quan nhà nước, luật sư, trọng tài viên và tòa án. • Provide solutions for disputes and guide legal procedures. Đề xuất phương án giải quyết tranh chấp và hướng dẫn thủ tục pháp lý. 4. Corporate Legal Support/Hỗ trợ pháp lý nội bộ: • Participate in drafting, reviewing, and updating internal company policies and procedures to ensure legal compliance. Tham gia xây dựng, rà soát và cập nhật quy trình, quy chế nội bộ đảm bảo phù hợp quy định pháp luật. • Coordinate with departments to standardize internal forms and workflows with legal clarity and risk control. Phối hợp với các phòng ban chuẩn hóa biểu mẫu, quy trình nội bộ với định hướng kiểm soát pháp lý và rủi ro. • Support in preparing company charter, board resolutions, shareholder meetings. Hỗ trợ soạn thảo điều lệ công ty, nghị quyết hội đồng quản trị, họp cổ đông. • Handle licenses, business registration, and intellectual property matters. Thực hiện thủ tục giấy phép, đăng ký kinh doanh và xử lý các vấn đề sở hữu trí tuệ. • Use AI tools to analyze contract risks and improve legal document management. Sử dụng công cụ AI để phân tích rủi ro hợp đồng và nâng cao hiệu quả quản lý tài liệu pháp lý. 5. Legal Training & Awareness/Đào tạo và nâng cao nhận thức pháp lý: • Conduct internal training sessions to raise legal awareness among staff. Tổ chức các buổi đào tạo nội bộ nhằm nâng cao nhận thức pháp lý cho nhân viên.
