Responsibilities:
Legal Compliance
- Ensure full compliance with local laws and regulations across all operational jurisdictions.
- Oversee the review and update of internal policies to align with applicable legal and regulatory standards.
- Collaborate with HR to ensure compliance with labor laws, employment contracts, and other employee-related regulations.
- Monitor and manage the company’s legal risk profile, advising senior leadership on risk mitigation strategies.
Corporate Governance and Company Structure
- Maintain robust corporate governance practices, including compliance with board requirements and statutory obligations.
- Ensure compliance with shareholder agreements and provide legal support for Board of Directors’ activities.
- Oversee the preparation and filing of corporate documents with regulatory authorities, including BOI (Board of Investment) licenses.
Litigation and Dispute Resolution
- Manage all litigation, arbitration, and dispute resolution matters, including commercial and employee-related cases.
- Act as the primary liaison with external counsel and coordinate litigation strategy.
- Proactively address potential disputes to avoid litigation where possible.
Contract Management
- Draft, review, and negotiate contracts with clients, vendors, and partners to protect the company’s interests.
- Standardize contract templates and streamline the contract approval process.
- Maintain a centralized repository of contracts and agreements.
Compliance Integration in HR Strategy
- Partner with HR to ensure compliance with employment laws and regulations.
- Oversee legal aspects of HR initiatives, such as the broker of record, and implement strategies to mitigate risks in employee-related matters.
Regulatory and AMLO Compliance
- Act as the primary point of contact with regulatory bodies, including BOI and DBD.
- Ensure compliance with Anti-Money Laundering Office (AMLO) requirements.
- Manage regulatory filings, licenses, and permits to ensure business continuity.
Legal Aspects of New Strategies
- Provide comprehensive legal analysis and support for new business strategies
- Identify and mitigate potential legal and regulatory risks associated with new initiatives.
IP and Data Privacy
- Oversee the management and protection of intellectual property assets, including trademarks and copyrights.
- Ensure compliance with data privacy laws and regulations (e.g., GDPR, PDPA).
- Develop and implement data protection policies and procedures.
Management of Outsourced Legal Firms
- Coordinate and oversee work performed by external legal counsel to ensure quality and cost efficiency, notably in non-TH SEA countries where required
- Review and approve external counsel budgets and invoices.
Qualifications:
- Education: Bachelor’s degree in Law (LLB or equivalent); Master’s degree or professional qualifications (e.g., bar admission) is highly preferred.
- Experience: Minimum of 10 years of legal experience, with at least 5 years in a leadership role. Experience in corporate law, real estate, or technology sectors is an advantage.
- Technical Skills: Strong expertise in contract law, corporate governance, regulatory compliance, litigation management, and AMLO regulations.
- Soft Skills: Excellent leadership, negotiation, and communication skills.
- Languages: Proficiency in both Thai and English is required.
- Attention to Detail: Demonstrated ability to manage complex legal matters with precision and accuracy.
- Proactive Approach: Proven track record of identifying and mitigating risks while enabling business growth.
